Terms of Service

These Terms of Service ("Terms") govern your access to and use of the BillRelay website and service, provided by EXACT IOT LIMITED ("we", "us", "our"), NZBN 9429046766427, a company registered in New Zealand and trading as BillRelay. By joining the waitlist, creating an account, or using the service, you agree to these Terms.
1. The service
BillRelay extracts data from invoices and receipts you provide, applies New Zealand tax logic, and creates draft entries in the accounting platform you connect (such as Xero). BillRelay assists with data entry; it does not file returns or make accounting or tax decisions for you.
2. Eligibility and accounts
You must be at least 18 and authorised to act for the business you represent. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account.
3. Free month
We offer one month free, with no credit card required to start. After the free period, continued use requires a paid subscription. We may change the terms of free offers for future customers, but will honour the offer you signed up under.
4. Fees and billing
- Subscription fees are as shown on our pricing page, in New Zealand dollars, exclusive of GST, with GST added where applicable.
- Paid plans include a monthly document allowance. Usage beyond your plan allowance is billed as overage at the rate shown on our pricing page.
- Billing is handled by Stripe. By subscribing you authorise us, through Stripe, to charge your chosen payment method on a recurring basis until you cancel.
- You can cancel at any time; cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law (including the Consumer Guarantees Act 1993 where it applies).
5. Your data
You retain all ownership of the documents and data you provide. You grant us a limited licence to process that data solely to provide the service to you. We do not use your documents to train AI models today; if we ever do, it will be strictly opt-in and off by default. Data we access through connected accounting platforms (such as Xero) is never used for AI training (see our Privacy Policy). You are responsible for ensuring you have the right to upload and process the documents you submit.
6. Accuracy and your responsibility to review
Automated extraction is not perfect. You are responsible for reviewing every draft before approving it in your accounting platform. BillRelay creates drafts for your review and does not post final entries on your behalf. We are not your accountant or tax adviser, and nothing in the service is tax, accounting, or legal advice.
7. Third-party integrations
The service connects to third-party platforms (such as Xero and, in future, MYOB) at your direction. Your use of those platforms is governed by their own terms. We are not responsible for the availability, changes, or actions of third-party platforms.
8. Acceptable use
You agree not to misuse the service, including by attempting to breach security, access other tenants' data, upload unlawful content, reverse-engineer the service, or use it to break the law.
9. Availability
We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. We may perform maintenance, update features, or suspend the service where reasonably necessary.
10. Disclaimers and limitation of liability
To the maximum extent permitted by law, the service is provided "as is". We exclude implied warranties except those that cannot lawfully be excluded (for business users, the Consumer Guarantees Act 1993 may be contracted out of, and is where permitted). To the extent permitted by law, our total liability arising from the service is limited to the fees you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect or consequential loss, including lost profits or data, or for errors you could have caught on review.
11. Suspension and termination
You may stop using the service and cancel at any time. We may suspend or terminate access if you breach these Terms or fail to pay. On termination you may export your data for a reasonable period, after which we may delete it subject to our retention obligations.
12. Changes to these Terms
We may update these Terms from time to time. The "last updated" date shows when they last changed. Continued use after changes take effect means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of New Zealand, and the New Zealand courts have non-exclusive jurisdiction over any disputes.
